1. Introduction

These Terms and Conditions (“Agreement”) govern all transportation brokerage services provided by NandiHaul Logistics (“Broker”, “we”, “our”, or “us”) to its clients (“Customer”, “Shipper”, or “Consignor”) and to its contracted motor carriers (“Carrier”). By engaging NandiHaul Logistics for freight brokerage or logistics coordination services, you acknowledge and agree to the terms set forth below.

 

2. Role of Broker

NandiHaul Logistics acts solely as a transportation broker, arranging transportation of goods by independent, third-party carriers.
NandiHaul Logistics is not a motor carrier and does not take possession, custody, or control of the freight at any time.

 

3. Carrier Qualification

• All contracted carriers must hold valid licenses, permits, and insurance as required by applicable transport authorities.

• Carriers must maintain a minimum of ₹10,00,000/- (or USD $1,00,000 for international shipments) in cargo liability coverage and valid motor carrier authority.

• The Broker relies on carrier-provided documentation and shall not be liable for any misrepresentation by the carrier.

 

4. Freight and Service Rates

• All rate confirmations or quotations provided are based on the details shared by the Customer at the time of booking.

• Any additional charges arising from changes in load description, weight, dimensions, waiting time, or route detours shall be billed accordingly.

• All rates are exclusive of applicable taxes, duties, or surcharges unless stated otherwise.

 

5. Payment Terms

• Payment is due within 15–30 days from the date of invoice unless otherwise agreed in writing.

• Interest may be charged on overdue amounts at 1.5% per month (18% per annum) or the maximum rate allowed by law.

• The Broker reserves the right to withhold further services for non-payment or outstanding dues.

 

6. Claims and Liability

• NandiHaul Logistics is not liable for loss, damage, or delay of cargo caused by the Carrier, Shipper, Consignee, or other third parties.

• Claims for loss or damage must be filed directly with the Carrier.

• Broker will assist in facilitating the claim but assumes no financial liability beyond the freight brokerage fee.

• The maximum liability of the Broker, if any, shall not exceed the brokerage fee charged for the shipment in dispute.

 

7. Customer Responsibilities

The Customer agrees to:

• Provide accurate shipment details (weight, dimensions, nature of goods, value, pickup/delivery locations).

• Ensure goods are properly packaged, labeled, and compliant with all transport laws.

• Indemnify and hold harmless NandiHaul Logistics from any claims, penalties, or losses resulting from false or incomplete information.

 

8. Carrier Responsibilities

Carriers must:

• Transport shipments safely, lawfully, and on schedule.

• Maintain all necessary operating authority, insurance, and permits.

• Report any accidents, delays, or damages immediately.

• Not subcontract or re-broker any load without prior written consent.

 

9. Limitation of Liability

Under no circumstances shall NandiHaul Logistics be liable for:

• Consequential, indirect, or punitive damages, including loss of profit or business.

• Delays caused by traffic, weather, strikes, or government restrictions.

• Any claim exceeding the total brokerage fee charged for the load.

 

10. Insurance

Each Carrier is responsible for maintaining adequate cargo, liability, and workers’ compensation insurance.
Customers are encouraged to maintain their own cargo insurance for comprehensive coverage.

 

11. Force Majeure

Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, strikes, government actions, or natural disasters.

 

12. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Chandigarh, India (or as otherwise agreed in writing).

 

13. Confidentiality

All rate sheets, customer lists, and shipment information shall remain confidential and not be disclosed to third parties without written consent.

 

14. Termination

Either party may terminate this Agreement with 30 days’ written notice, provided all outstanding payments and obligations are settled.

 

15. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior communications or representations.
